Overview
In general, a Commercial Sales-Based Financing Provider or Broker is a person or entity that engages in the business of providing or brokering commercial sales-based financing under Chapter 398 of the Texas Finance Code. Unlike traditional commercial lending, which is typically repaid through fixed payments on a set schedule, commercial sales-based financing is repaid either as a percentage of a business’s sales or revenue, or through payments that are periodically adjusted based on the business’s sales or revenue. Because repayment is tied to the business’s performance, payment amounts may increase or decrease as sales or revenue fluctuate. These transactions are intended for commercial or business purposes, rather than consumer-purpose financing.
Applying for a Registration
Please note that TX-OCCC staff are unable to determine or advise which license or registration a business should apply for. This determination must be made by the applicant based on its own assessment of its business activities and applicable regulatory requirements. If you have specific legal questions, please seek the advice of an attorney.
Beginning September 1, 2026, Businesses that need to apply for a Commercial Sales Based Finance (CSBF) registration must create a new account and submit the application using NMLS. If you already have an existing NMLS account for the entity you are needing to register, log in and apply through that existing account.
A registration becomes active upon receipt of the required initial registration fee.
In NMLS, your registration is considered your Company License. Other Trade Name (OTN) applications only apply when you are using two or more DBA’s/Trade Names at one address.

TRANSFER OF OWNERSHIP
Please note that TX-OCCC registrations are not transferable. If ownership changes due to the formation of a new entity or the acquisition of the business, the new entity must create a new NMLS account (if one does not already exist), and obtain a new registration. The existing registration cannot be transferred to the new owner.
For ownership changes that do not involve a new Federal Employer Identification Number (FEIN), please contact the NMLS Call Center for guidance on amending your current MU1 Direct Ownership filings.

Renewal Dates:
November 1 – Renewal Opens
December 31 – Renewal Closes*
*Registrations not renewed by midnight will expire.
January 1 – Reinstatement Opens
February 28 – Reinstatement Closes
*Registrations that are not renewed by December 31 may be reinstated until February 28 at 11:59 p.m. Registrations not reinstated by this deadline will be designated Terminated Failed-To Renew.
Commercial Sales Based Finance registrants do not file annual reports.
